Terms and Conditions
These Terms of Service (the “Terms”) govern your access to and use of Revues and related services (the “Service”). By accessing or using the Service, you agree to be bound by these Terms.
0. Acceptance of Terms (Clickwrap)
By selecting “I agree”, checking a box presented with these Terms, or by accessing or using the Service after the Effective Date shown above, you agree to these Terms on behalf of yourself and any entity you represent. If you do not agree, you shall not access or use the Service.
1. Definitions and Interpretation
“Account” means an account provisioned to you for access to the Service.
“Authorized Users” means your employees, contractors, and agents who access the Service on your behalf.
“Content” means text, data, images, audio, video, outputs, and other materials made available through the Service.
“Your Data” means data, content, or materials submitted, uploaded, or provided by you or on your behalf to the Service.
“Documentation” means user guides and other materials we provide describing the Service.
“Service” means the Revues platform and related services we make available.
“Confidential Information” means non-public information disclosed by a party that is designated as confidential or that a reasonable person would understand to be confidential.
Interpretation. Headings are for convenience only and do not affect interpretation. “Including” means “including without limitation.” “Or” is not exclusive. The singular includes the plural and vice versa. “Will” and “shall” denote obligations.
2. Accounts and Eligibility
You must be at least the age of majority in your jurisdiction to use the Service. You are responsible for maintaining the confidentiality of your credentials and for all activities under your Account.
3. Content and Intellectual Property
Revues and its licensors retain all rights, title, and interest in and to the Service, including all software, documentation, designs, and trademarks. Except for the limited license granted herein, no rights are granted to you.
Any derivative works, improvements, or modifications to the Service or Content, whether created by you or on your behalf, shall be the sole property of Revues.
Any feedback, suggestions, or improvements you provide may be used by Revues without restriction, and you assign all rights in such feedback to Revues.
Unauthorized use or disclosure of the Service or Content may cause irreparable harm, and Revues shall be entitled to seek injunctive relief, without posting bond, in addition to other remedies.
4. Confidentiality
Information disclosed by either party that is marked or should reasonably be understood to be confidential shall be kept confidential and used only as necessary to use or provide the Service.
Confidential Information includes, without limitation, the Service’s features, functionality, designs, business processes, and technical architecture, whether or not marked as confidential.
5. Privacy
Your use of the Service is also governed by our Privacy Policy. Please review it to understand how we collect and process personal data.
6. License and Acceptable Use
Subject to these Terms and timely payment of applicable fees, Revues grants you a limited, revocable, non-exclusive, non-transferable, and non-sublicensable license to access and use the Service solely for your internal business purposes, in accordance with the Documentation and any usage limits associated with your plan.
Accounts & Access
You must keep your credentials confidential and are responsible for activity under your Account. You may permit your personnel and authorized contractors to use the Service on your behalf, provided you remain responsible for their compliance. You may not resell, provide the Service on a service-bureau basis, or otherwise make the Service available to third parties except as expressly permitted in these Terms.
You shall not use the Service, Content, or Documentation to create, market, or provide any product or service that is competitive with the Service.
You may not copy, modify, translate, localize, or create derivative works of the Service or Content. You may not reverse engineer, decompile, disassemble, or attempt to derive the source code, object code, underlying structure, ideas, or algorithms of the Service, except to the extent such restriction is prohibited by applicable law.
You may not scrape, crawl, spider, harvest, or use automated means to access the Service or Content; bypass robots.txt or similar controls; access the Service to build, train, benchmark, or improve a competing product or service; or publish benchmarks without prior written consent.
You may not use the Service or Content (including outputs) to train or fine-tune machine learning or AI models except as expressly permitted in writing by Revues.
You may not remove or alter proprietary notices, circumvent security or rate limits, access undocumented APIs, introduce malware, perform penetration testing without authorization, interfere with Service operation, violate law or third-party rights, or use the Service for high-risk purposes where failure could cause death, personal injury, or severe damage.
You may not sell, rent, lease, sublicense, assign, frame, mirror, or otherwise commercially exploit the Service except as expressly permitted.
Usage Limits & Monitoring
You will not exceed usage limits applicable to your plan. We may monitor usage in a privacy-respecting manner to operate, secure, and improve the Service and verify compliance. Upon reasonable request, you will provide information necessary to confirm compliance.
Enforcement
We may suspend or terminate access for violations of this Section and seek injunctive relief in addition to other remedies.
Cease and Remediation
If you engage in prohibited use, you must immediately cease such use, permanently delete all data, outputs, models, benchmarks, or derivatives obtained from the Service, and within ten (10) days provide written certification of deletion signed by an authorized representative.
7. Fees and Payment
Where applicable, you agree to pay all fees for the Service. Fees are non-refundable except as required by law or expressly stated otherwise.
8. Term, Suspension, and Termination
We may suspend or terminate your access to the Service immediately if you breach these Terms. Upon termination, your right to use the Service ceases. Sections 3, 4, 6, 9, 10, 11, and any provisions that by their nature should survive shall survive termination.
9. Disclaimers
The Service is provided “as is” and “as available” without warranties of any kind, express or implied. To the fullest extent permitted by law, Revues disclaims all warranties, including merchantability, fitness for a particular purpose, and non-infringement.
10. Limitation of Liability
To the maximum extent permitted by law, Revues will not be liable for indirect, incidental, special, consequential, or punitive damages, or any loss of profits, revenues, or data arising out of or related to your use of the Service.
11. Indemnification
You agree to defend, indemnify, and hold harmless Revues, its affiliates, and their officers, directors, employees, and agents from any claims, liabilities, damages, losses, and expenses arising out of or related to your use of the Service or violation of these Terms.
12. Changes to these Terms (Existing Users)
We may update these Terms from time to time. For material changes, we will provide notice (e.g., in-app prompt, email, or banner) identifying the Effective Date and a summary of changes. Continued access after the Effective Date requires your affirmative consent.
13. Severability; Entire Agreement
If any provision of these Terms is held unenforceable, the remaining provisions remain in full force and effect. These Terms constitute the entire agreement between you and Revues regarding the Service and supersede prior or contemporaneous terms on the same subject.

15. Governing Law and Venue
These Terms are governed by the laws of Ontario, Canada, without regard to conflict of law principles. Exclusive jurisdiction and venue lie in the courts located in Ottawa, Ontario.
